Software licence agreement
Version 1.0, 25 September 2026. Between Patchgate, LLC, trading as Vertex Lake (“the licensor”), and the organisation named in the licence file (“you”).
1. The licence
Subject to payment and to this agreement, the licensor grants you a perpetual, non-exclusive, non-transferable licence to install and use the VX Drive software of the major version named in your licence file, on machines you control, for your organisation's internal business, in any number of instances the licence names (one unless stated).
2. Modules
The premium modules named in your licence file may be switched on for the period it states. A module not named, or whose period has ended, cannot be switched on; a module already on keeps working as installed.
3. Maintenance
While maintained, you may apply every release of your major version published up to the date your licence states. The software applies no later release. Support is as the terms of sale say.
4. The perpetual fallback
Nothing in the software stops working when maintenance, support or a module period ends: every function, every module that was switched on, every stored document and record continue as they were, without a time limit, without contact with the licensor, and without any further payment. The licensor undertakes not to release software that departs from this.
5. Evaluation licences
An evaluation licence grants clause 1 for the days it states, for evaluation. When it ends the software serves only its sign-in and licence pages until a licence is installed; it alters nothing stored. Continued use after its end is not licensed.
6. What you may not do
You may not sublicense, rent or sell the software; remove its notices; use it to provide the service to third parties as a bureau; or circumvent the licence check, the signature verification or the lock. You may study its behaviour and configure it freely.
7. Your data
Every document, user, search, answer and record in the software is yours and stays on your machine. The software sends the licensor nothing but the daily licence refresh and check-in (instance id, version, channel and the licence's digest) and the image pulls, each of which you may disable by running without the portal credential. The licensor has no access to your instance.
8. Audits
There are no seat counts and no audits. The licence names an organisation, a version and modules; your use within your organisation is not counted.
9. Third-party components
The software includes components under their own licences, listed in its licence register; those terms apply to those components.
10. Warranty
For ninety days from delivery the licensor warrants that the software performs materially as documented; your remedy is repair in a release or, failing that, a refund of the licence. Otherwise the software is provided as is, to the extent the law allows.

12. Term and termination
This agreement lasts as long as you use the software. The licensor may terminate it only for a material breach of clause 6 that you do not cure within thirty days of notice. On termination you cease using the software; your data remains yours and the export functions remain available to you for ninety days.
13. Assignment
You may assign this licence to a successor of your organisation by notice. The licensor may assign it to an affiliate or a successor that assumes it in full, including clause 4.
